2. Independent Reseller Disclosure
American Industrial Parts Group is an independent reseller of industrial automation, electrical, electronic, mechanical, maintenance, repair, and operations equipment.
Unless expressly stated in a product listing, AIPG is not an authorized distributor, dealer, representative, affiliate, franchisee, or agent of any manufacturer, brand owner, or original equipment manufacturer whose products may appear on this website.
The appearance of a manufacturer’s name, trademark, product number, logo, photograph, or other identifying information is used solely for legitimate product identification, compatibility reference, and descriptive purposes. Such use does not imply sponsorship, endorsement, authorization, affiliation, or approval by the manufacturer or trademark owner.
All trademarks, service marks, trade names, logos, product names, model numbers, and other intellectual-property rights are the property of their respective owners.
3. Product Sources and Conditions
Products offered by AIPG may be obtained from surplus inventories, plant closures, maintenance departments, equipment dealers, auctions, distributors, resellers, liquidation sales, removed machinery, or other secondary-market sources.
Products may be listed in one or more of the following conditions:
- New
- New surplus
- New open box
- Used
- Refurbished
- Reconditioned
- For parts or not working
The condition stated on the individual product page controls. Packaging may show shelf wear, writing, labels, discoloration, storage marks, previous shipping labels, or other cosmetic evidence associated with storage or secondary-market distribution.
“New surplus” does not necessarily mean that the product is currently manufactured, covered by a manufacturer’s warranty, purchased through an authorized distribution channel, or packaged in current retail packaging.
4. Product Descriptions and Photographs
AIPG makes reasonable efforts to provide accurate product titles, descriptions, part numbers, specifications, conditions, quantities, and photographs. Federal advertising standards generally require commercial claims to be truthful, non-deceptive, and reasonably supported.
Nevertheless, product information may contain typographical errors, cataloging errors, manufacturer-data errors, technical inaccuracies, or omissions. Manufacturer specifications may also change without notice.
Unless expressly identified as a stock image, photographs are intended to depict the actual product or a substantially representative product. Differences in lighting, screen settings, manufacturing revisions, packaging, labeling, date codes, firmware, hardware revisions, or cosmetic condition may occur.
The buyer is responsible for reviewing all photographs, descriptions, specifications, model numbers, revision numbers, voltage requirements, dimensions, connector types, and other available information before ordering.
If information in a written description conflicts with clearly visible information shown on the product’s identification label, the buyer should contact AIPG before purchasing.
5. Compatibility and Application Responsibility
AIPG does not guarantee that a product will be compatible with any specific machine, system, network, controller, program, process, application, enclosure, operating environment, or existing installation unless that guarantee is expressly stated in writing on the applicable product page.
References to compatible equipment, replacement applications, cross-reference numbers, or manufacturer product families are provided for general identification purposes only.
The buyer is solely responsible for:
- Confirming the exact manufacturer and part number;
- Confirming voltage, current, frequency, phase, capacity, dimensions, firmware, revision, communication protocol, and environmental ratings;
- Determining whether the product is suitable for the buyer’s intended application;
- Determining whether modifications, programming, licensing, calibration, configuration, or additional components are required; and
- Ensuring compliance with applicable codes, standards, regulations, permits, and manufacturer instructions.
A product should not be ordered solely on the basis of appearance.
6. Professional Installation and Safety Warning
Industrial electrical and automation equipment can create risks of electric shock, arc flash, fire, explosion, equipment damage, unintended machine movement, serious injury, or death when improperly selected, installed, programmed, serviced, or operated.
Products purchased from AIPG must be inspected and installed by appropriately trained and qualified personnel in accordance with:
- Applicable federal, state, and local laws;
- Electrical and workplace-safety requirements;
- Manufacturer instructions;
- Equipment-specific procedures;
- Lockout/tagout procedures; and
- Applicable industry codes and standards.
AIPG does not provide engineering, electrical-design, machine-safety, programming, certification, inspection, or installation services merely by selling a product or providing general product information.
The buyer must not rely upon website content as a substitute for professional engineering judgment, qualified technical advice, manufacturer documentation, or legally required safety procedures.
7. Safety-Critical Applications
Unless expressly approved by the original manufacturer for the intended use, products sold by AIPG should not be used as the sole or primary control in applications involving:
- Human life support;
- Medical diagnosis or treatment;
- Nuclear facilities;
- Aviation or aerospace flight control;
- Emergency shutdown systems;
- Fire-suppression systems;
- Hazardous-location protection;
- Personnel-safety systems;
- Transportation-control systems; or
- Any application in which a product failure could reasonably result in death, personal injury, environmental damage, or catastrophic property loss.
The buyer assumes responsibility for appropriate redundancy, safeguards, risk assessments, testing, certification, and regulatory compliance.
8. Testing and Operational Status
Any testing performed by AIPG is limited to the specific testing expressly described in the product listing.
Statements such as “tested,” “powers on,” “removed from operating equipment,” or “working when removed” do not constitute a guarantee that every function, output, input, communication port, accessory, memory location, program, firmware feature, or operating mode has been tested.
“Powers on” means only that the item demonstrated a power response during limited observation. It does not mean that the item has been fully function-tested, calibrated, certified, or verified under load.
Products listed as “for parts or not working” may be incomplete, damaged, nonfunctional, unsafe, or unsuitable for installation. Such products must be evaluated by qualified personnel before use.
9. Warranties
Unless a specific written AIPG warranty is expressly included on the applicable product page, products are sold subject only to the rights and remedies that cannot lawfully be excluded.
AIPG is not responsible for administering, extending, or guaranteeing any original manufacturer warranty. Manufacturer warranty coverage may be unavailable because of product age, discontinued status, previous ownership, secondary-market sourcing, removal from original packaging, installation history, or the absence of an authorized distribution chain.
Any reference to a manufacturer warranty is informational only unless AIPG expressly confirms in writing that the warranty is transferable and currently valid.
Federal warranty requirements may apply when a seller provides a written warranty for a consumer product, and certain warranty disclosures must be made before sale.
Disclaimer of Implied Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AND EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED BY AIPG, PRODUCTS AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS.
AIPG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, CONDITION, QUALITY, DURABILITY, COMPATIBILITY, AND ACCURACY.
Texas law generally requires language excluding the implied warranty of merchantability to expressly mention “merchantability,” and exclusions of merchantability or fitness must be written and conspicuous.
Some jurisdictions do not permit the exclusion or limitation of certain warranties. In those jurisdictions, this disclaimer applies only to the maximum extent legally permitted.
10. Returns and Refunds
Returns and refunds are governed by the Return and Refund Policy displayed on this website and any product-specific terms shown at checkout.
Unless otherwise stated:
- Eligible returns must be requested within the stated return period;
- Returned items must be the same items originally shipped;
- Serial numbers, date codes, security markings, labels, and identifying features may be verified;
- Items must not have been altered, disassembled, damaged, programmed, improperly installed, or subjected to misuse;
- Buyer-paid return shipping may apply; and
- Original shipping charges may be nonrefundable to the extent permitted by law.
AIPG may deny a return or refund when a different item is returned, identification markings have been altered, the product has been damaged after delivery, or the return otherwise violates the posted policy.
Nothing in this section limits rights that cannot legally be waived.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIPG AND ITS OWNERS, OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, SUPPLIERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO:
- The purchase, possession, selection, installation, programming, use, misuse, failure, or removal of a product;
- Lost production, downtime, lost profits, lost revenue, loss of data, or loss of business opportunity;
- Damage to machinery, systems, facilities, inventory, or other property;
- Personal injury or death;
- Inaccurate or incomplete product information;
- Website interruption or unavailability;
- Unauthorized access to website systems; or
- Reliance on technical, compatibility, or application information.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIPG’S TOTAL AGGREGATE LIABILITY ARISING FROM A PRODUCT OR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO AIPG FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
These limitations do not apply where liability cannot legally be excluded or limited.
12. Indemnification
To the maximum extent permitted by law, the buyer agrees to defend, indemnify, and hold harmless AIPG and its owners, officers, members, employees, contractors, affiliates, suppliers, and agents from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from:
- The buyer’s improper selection, installation, programming, use, resale, modification, or disposal of a product;
- The buyer’s violation of law, code, regulation, manufacturer instruction, or safety procedure;
- The buyer’s infringement or violation of another party’s rights;
- The buyer’s use of a product in a safety-critical or prohibited application; or
- Inaccurate information supplied by the buyer.
This provision does not require indemnification for liability that cannot legally be transferred.
13. Pricing, Availability, and Order Acceptance
Prices, product availability, descriptions, promotions, and quantities may be changed or corrected without notice.
Placing an order does not guarantee acceptance. AIPG may cancel or decline an order because of:
- Inventory discrepancies;
- Pricing or description errors;
- Payment or fraud concerns;
- Shipping restrictions;
- Export-control restrictions;
- Suspected unlawful use;
- Product damage or unavailability; or
- Other legitimate business or legal reasons.
If payment has already been collected for a canceled order, AIPG will issue the applicable refund.
AIPG reserves the right to limit quantities and refuse service where permitted by law.
14. Intellectual Property
Except for third-party trademarks and materials, the website design, original written content, graphics, logos, photographs, product arrangements, and other original materials created by or for AIPG are owned by AIPG or used with permission.
No website content may be copied, reproduced, republished, distributed, sold, modified, scraped, or commercially exploited without prior written authorization, except as permitted by applicable law.
Nothing on this website grants a license to use any manufacturer’s trademark, AIPG trademark, copyrighted material, or other intellectual property.

AIPG does not control and is not responsible for third-party content, security, availability, privacy practices, representations, products, or services. A link does not constitute an endorsement.
Manufacturer datasheets and technical documents remain subject to the manufacturer’s terms and may not reflect the exact revision or configuration of a product offered by AIPG.
16. Export-Control and Sanctions Compliance
Products, software, technical information, and related items sold through this website may be subject to United States export-control, trade-sanctions, customs, and antiboycott laws.
The U.S. Export Administration Regulations govern exports, reexports, and in-country transfers of items subject to those regulations. Restrictions may depend on the product, destination, end user, and intended end use.
The buyer agrees not to export, reexport, transfer, release, sell, or use any product in violation of applicable law or in connection with a prohibited destination, restricted party, prohibited end use, weapons program, or other unlawful activity.
AIPG may screen transactions, request end-user or end-use information, delay fulfillment, cancel an order, or refuse a transaction when required for compliance or when a transaction presents an export-control warning sign. BIS advises businesses to evaluate transaction “red flags” and restricted-party concerns.
The buyer is responsible for obtaining any required licenses, permits, classifications, approvals, or authorizations.

The buyer should consult qualified professionals regarding the buyer’s particular equipment, installation, transaction, or legal obligations.
18. Governing Law and Venue
To the extent permitted by applicable law, this Legal Notice and disputes arising from the website or transactions with AIPG will be governed by the laws of the State of Texas, without regard to conflict-of-law principles.
Any legal action that is not subject to a separately enforceable dispute-resolution agreement must be brought in a court of competent jurisdiction located in:
Wood County
The parties consent to the personal jurisdiction and venue of those courts, except where applicable law requires otherwise.
19. Consumer Rights
Nothing in this Legal Notice is intended to waive, restrict, or eliminate any consumer right or remedy that cannot legally be waived.
Texas law prohibits specified false, misleading, or deceptive acts in trade and commerce under the Texas Deceptive Trade Practices–Consumer Protection Act.
Where federal, state, or local law provides greater protection than this notice, the applicable law controls.
20. Severability
If any provision of this Legal Notice is held invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

AIPG may revise this Legal Notice periodically. The revised version becomes effective when posted unless a later effective date is stated.
